1. Acceptance of Terms

By using our website, services, or referral program, you (“Client,” “User,” or “Referrer”) agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use our site or services.

2. Services

GrowthHouse Digital provides digital marketing, website development, e‑commerce solutions, print and graphic design, SMS/email marketing, hosting, and related services as described on our Services page. We may add or discontinue services at our discretion.

3. User Obligations

Accurate Information: You agree to provide true, accurate, and complete information when requesting services, creating accounts, or joining the referral program.

Prohibited Uses: You will not use our site or services for unlawful purposes, transmit malware or spam, or infringe intellectual property rights.

Account Security: If you create an account, you are responsible for maintaining its confidentiality and for all activities under your login credentials.

4. Fees and Payments

  • 4.1 Fees and billing cycle. Service fees, payment schedules, and recurring charges are set out in your individual agreement, statement of work, or invoice. Retainer fees are billed in advance for the upcoming service period. Your billing cycle begins on the date of your first payment and recurs monthly on that same calendar day.
  • 4.2 Authorization for recurring payment. By providing a payment method and accepting these Terms, you authorize GrowthHouse Digital LLC to charge that payment method automatically on each billing date for the agreed recurring amount, without further notice or authorization, until the engagement is terminated under Section 4.8. You represent that you are authorized to use the payment method provided. You agree to keep a valid payment method on file for the duration of the engagement.
  • 4.3 Retainer is non-refundable. Retainer fees purchase GrowthHouse Digital’s availability, capacity, and performance of services during the billing period, not a specified quantity of output or any particular commercial result. Fees are earned when the billing period begins and are non-refundable in whole or in part, including where you elect not to use the services, are unable to use them, or terminate mid-cycle. Unused hours, deliverables, or ad management capacity do not roll over.
  • 4.4 Acceptance of work. Deliverables are considered accepted, and the corresponding invoice final, unless you notify us in writing of a specific deficiency within fourteen (14) days of delivery. Continued use of deliverables constitutes acceptance.
  • 4.5 Billing questions and notice-and-cure. You must raise any billing question or service concern in writing to marketing@www.growthhouse.digital within thirty (30) days of the charge in question. GrowthHouse Digital will respond within ten (10) business days and, where a deficiency is confirmed, will have thirty (30) days to cure it at no additional cost. This process is your exclusive first remedy for any dispute over fees or performance. Charges not disputed in writing within thirty (30) days are deemed accurate, authorized, and accepted.
  • 4.6 Chargebacks. You agree not to initiate a chargeback, payment dispute, or reversal with your card issuer or bank without first completing the process in Section 4.5. Initiating a chargeback for services rendered is a material breach of these Terms. If you file a chargeback that is resolved in GrowthHouse Digital’s favor, or that concerns services already delivered, you agree to reimburse GrowthHouse Digital for the disputed amount plus all processor dispute fees, a $150 per-dispute administrative fee, and all reasonable costs of collection and attorneys’ fees. GrowthHouse Digital may immediately suspend all services, revoke access to accounts and assets, and require payment of all outstanding balances plus a reinstatement fee before work resumes.
  • 4.7 Past due amounts. Invoices unpaid after ten (10) days are past due and accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less. GrowthHouse Digital may suspend services on past due accounts without liability, and suspension does not relieve you of fees accruing during the suspension.
  • 4.8 Pausing, holds, and termination. Either party may terminate on thirty (30) days’ written notice. Termination takes effect at the end of the then-current billing cycle; the final cycle is billed in full and is non-refundable. Requests to pause billing must be made in writing and are effective only when confirmed in writing by GrowthHouse Digital. A pause or reduction in advertising spend — whether requested by you, required by a platform, or caused by conditions on your side such as loss of payment processing, site downtime, inventory problems, or account restrictions — is not a pause in billing. Strategy, consulting, account maintenance, creative production, and standby capacity continue during such periods and remain billable at the full retainer rate unless billing is paused in writing under this section.
  • 4.9 Third-party costs. Advertising spend, platform fees, software licenses, hosting, domains, and other third-party costs are your responsibility and are separate from the retainer, whether billed directly to you or passed through by GrowthHouse Digital.

 

5. Referral Program

Our referral program allows you to earn commissions for referring qualifying clients. Specific terms (e.g., payout tiers, eligibility, referral tracking) are provided on the referral program page and may be updated periodically. We reserve the right to approve or reject referrals and to modify or terminate the program with notice.

6. Intellectual Property

All content on our website—including text, graphics, logos, videos, and software—is owned by GrowthHouse Digital or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

7. Client Content

If you provide content to us (e.g., images, copy, data), you grant GrowthHouse Digital a non‑exclusive license to use, reproduce, and modify such content solely for the purpose of providing the agreed services. You represent that you have rights to the content and that its use will not infringe third-party rights.

8. Warranties and Disclaimers

No Guarantee of Results: While we strive to deliver strong results, we cannot guarantee specific outcomes (e.g., rankings, sales, ad performance).

Third-Party Services: We are not responsible for the availability or performance of third-party platforms (e.g., hosting providers, ad networks).

As-Is Basis: Our website and services are provided “as-is” and “as-available” without warranties of any kind, express or implied.

9. Limitation of Liability

To the fullest extent permitted by law, GrowthHouse Digital and its affiliates will not be liable for indirect, incidental, special, or consequential damages arising out of or related to your use of our site or services. Our total liability for any claim will not exceed the amount you paid us for the service in question.

10. Indemnification

You agree to indemnify and hold GrowthHouse Digital, its officers, employees, and agents harmless from any claims, damages, or expenses arising from your misuse of the site or services or violation of these Terms.

11. Termination

We may suspend or terminate your access to our site or services if you breach these Terms or for any lawful reason. You may terminate services by providing written notice per your service agreement. Termination does not relieve you of obligations to pay for services rendered.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under or relating to these Terms or services will be resolved through binding arbitration or in the courts located in Marion County, Florida.

13. Changes to Terms

We may update these Terms periodically. Updated Terms take effect when posted on our website. Your continued use of the site or services signifies acceptance of the updated Terms.
